These Terms of Service ("Terms") govern access to and use of the services provided by Northstar Live Productions Ltd ("we", "us", "our") and apply to all clients, customers, attendees, and other users who engage our services. By requesting, booking, receiving, accessing, or using any of our services, you agree to be bound by these Terms.
1. Introduction and acceptance of terms
These Terms form a legally binding agreement between you and Northstar Live Productions Ltd, a Live-Production-Studio business operating from Northstar Live Studio, 14 Dock Street, Leeds, LS10 1LF, United Kingdom.
If you do not agree to these Terms, you must not use, book, or rely on our services. Where a separate written agreement, booking confirmation, statement of work, production schedule, or purchase order exists, those documents shall apply alongside these Terms. If there is any conflict, the order of precedence shall be: (1) the signed written agreement or statement of work, (2) the booking confirmation, and (3) these Terms, unless expressly stated otherwise in writing.
We may require additional production-specific rules, venue requirements, technical specifications, or safety instructions for certain projects. You agree to comply with any such reasonable instructions communicated by us.
2. Scope of services
We provide live production and broadcast-related services, which may include, without limitation:
- Multi-camera live streaming;
- Studio event production;
- Hybrid conference broadcasting;
- Vision mixing and live switching;
- Audio engineering and microphone setup;
- Lighting design for studio and on-location shoots; and
- Remote guest integration and webcast support.
Our services may be delivered at our studio premises, at third-party venues, on location, or remotely. The exact scope, deliverables, technical specifications, staffing levels, rehearsal time, equipment, and timing for each project will be set out in a quotation, booking confirmation, or statement of work.
We reserve the right to determine suitable technical approaches, workflows, equipment, and staffing arrangements, provided they are reasonably consistent with the agreed scope.
Any services not expressly included in the agreed scope may be treated as additional services and charged accordingly.
3. User obligations and responsibilities
You agree to:
- Provide accurate, complete, and timely information required for us to perform the services;
- Ensure that any content, speakers, presenters, performers, guests, materials, branding, music, images, video, and other assets supplied by you do not infringe the rights of any third party;
- Obtain all necessary permissions, releases, licences, venue permissions, and consents required for your event or content;
- Ensure that attendees, presenters, and third parties comply with venue rules, health and safety requirements, and applicable laws;
- Provide access to venues, internet connectivity, power, and other facilities as reasonably required for service delivery, unless otherwise agreed in writing;
- Make appropriate arrangements for safeguarding personal property and equipment brought to the venue by you or your representatives;
- Not interfere with our technical operations, equipment, staff, or production decisions during live or time-critical work, except as agreed by the production lead;
- Promptly notify us of any changes to schedules, content, technical requirements, or venue conditions;
- Use any recordings, streams, or deliverables in compliance with applicable laws and third-party rights.
You are responsible for ensuring that all information you provide is lawful and that your use of our services does not cause us to breach any applicable law, regulation, or third-party obligation.
We may suspend or refuse services if, in our reasonable opinion, your conduct, the conduct of your guests, or the condition of the venue creates a safety risk, technical risk, legal risk, or reputational risk.
4. Payment terms and conditions
Unless otherwise agreed in writing, all fees are quoted in pounds sterling (GBP) and are exclusive of applicable taxes, which shall be added where required by law.
Invoices may be issued in advance, on booking, upon completion of milestones, or upon completion of services. Payment terms shall be as stated in the relevant quotation or invoice. If no payment term is specified, payment is due within 14 days of the invoice date.
We may require a deposit, retainer, or full advance payment before reserving dates, equipment, or personnel. Booking dates are not confirmed until any required deposit has been received and cleared.
Unless otherwise agreed:
- Deposits are non-refundable except where mandatory law requires otherwise;
- Late payments may result in interest and recovery costs being charged in accordance with applicable law;
- We may suspend work, withhold deliverables, or cancel bookings where payment is overdue;
- You are responsible for bank charges, transfer fees, and currency conversion costs associated with your payment;
- Any estimate or quotation is based on the information available at the time and may be revised if the project scope changes.
Additional charges may apply for overtime, unsocial hours, travel, accommodation, venue-specific compliance requirements, special equipment, data storage, editing, or emergency support, where these are not included in the original scope.
Disputed invoice amounts must be raised in writing promptly and in any event within a reasonable time after invoice receipt. You must pay any undisputed portion on time.
5. Cancellation and refund policy
Cancellations or postponements must be made in writing and are effective only when acknowledged by us. Because live production services involve advance scheduling, staffing, and equipment allocation, cancellation fees may apply.
Unless a different cancellation policy is stated in the quotation, booking confirmation, or statement of work:
- More than 30 days before the service date: any deposit may be retained to cover administrative and planning costs;
- 30 to 15 days before the service date: up to 50% of the total fee may be charged;
- 14 days or fewer before the service date: up to 100% of the total fee may be charged;
- If cancellation occurs after equipment, crew, or venue commitments have been made, additional third-party costs may be invoiced to you.
If you postpone a booking, we may treat the postponement as a cancellation followed by a new booking unless we agree otherwise in writing.
Refunds, if any, are at our discretion and subject to the terms of the relevant booking and applicable law. Refunds do not apply to services already performed, costs already incurred, non-cancellable third-party expenses, or custom-prepared work.
If we must cancel due to circumstances within our control, our liability shall be limited to refunding amounts paid for the affected undelivered services, unless otherwise required by law. We will use reasonable efforts to reschedule the event or provide an alternative solution where practicable.
6. Liability limitations
Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be limited.
Subject to the foregoing, Northstar Live Productions Ltd shall not be liable for:
- Indirect, incidental, special, consequential, or punitive losses;
- Loss of profit, revenue, business, goodwill, or anticipated savings;
- Loss, corruption, or inaccessibility of data, files, recordings, or streams caused by third-party systems, internet failure, venue issues, or events outside our reasonable control;
- Failure or delay caused by inaccurate information, late changes, poor venue infrastructure, defective third-party equipment, or client actions/omissions;
- Any loss arising from your unlawful use of recordings, images, sound, or live streams.
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the services, whether in contract, tort, negligence, breach of statutory duty, or otherwise, shall not exceed the total fees actually paid to us for the specific services giving rise to the claim.
You acknowledge that live production, streaming, and broadcast services may be affected by technical limitations, network instability, and external factors. We do not guarantee uninterrupted connectivity, error-free transmission, or uninterrupted availability of any stream or recording, unless expressly agreed in writing.
7. Intellectual property rights
Unless otherwise agreed in writing, all pre-existing intellectual property owned or licensed by Northstar Live Productions Ltd, including equipment configurations, templates, workflows, methods, software settings, design concepts, and internal materials, shall remain our property or the property of our licensors.
Upon full payment of all undisputed sums, and subject to third-party rights and any separate written agreement, you will receive a non-exclusive licence to use deliverables we have created specifically for you for the agreed purpose.
Unless expressly stated otherwise:
- We retain ownership of our underlying production methods and know-how;
- You retain ownership of content you supply to us;
- You grant us a licence to use your supplied content as reasonably necessary to perform the services;
- We may use non-confidential extracts, stills, or project descriptions for our portfolio, showreel, marketing, and promotional purposes, unless you notify us in writing before the project begins that such use is prohibited.
You warrant that all content supplied by you does not infringe any third-party intellectual property rights and that you have the necessary permissions to authorise its use.
Any unauthorised copying, distribution, resale, public communication, or modification of our proprietary materials is prohibited.
8. Data protection and privacy
We process personal data in connection with enquiries, bookings, communications, event delivery, support, invoicing, and record keeping. We will handle personal data in accordance with applicable data protection laws and our privacy practices.
Depending on the service, we may process personal data relating to clients, presenters, attendees, speakers, remote guests, crew members, and other individuals involved in the production. This may include names, contact details, image, voice, event participation data, and technical information necessary for webcast support or broadcast delivery.
You are responsible for ensuring that you have collected and provided all required notices, consents, and permissions relating to any personal data you supply to us or ask us to process on your behalf.
Where we act as a processor on your behalf, we will process personal data only in accordance with your documented instructions and applicable law, subject to any separate data processing agreement where required.
Where our services involve recording, livestreaming, filming, or photographing individuals, you are responsible for informing attendees and obtaining any necessary consent or lawful basis, unless we have expressly agreed in writing to provide such notices or manage such consent procedures.

9. Force majeure
We shall not be liable for any failure or delay in performing our obligations if such failure or delay is caused by events beyond our reasonable control, including but not limited to:
- Power failure, internet outage, telecoms disruption, or platform failure;
- Fire, flood, storm, adverse weather, or other natural events;
- Industrial action, labour disputes, or supplier failure;
- Acts of government, emergency measures, legal restrictions, or venue closure;
- War, terrorism, civil unrest, riot, public disorder, or threat thereof;
- Pandemics, epidemics, or public health restrictions;
- Equipment failure not caused by our wilful misconduct or gross negligence.
Where a force majeure event occurs, we may suspend, defer, or modify our obligations for the duration of the event. We will use reasonable efforts to mitigate its effects and resume performance as soon as practicable.
If a force majeure event makes performance impossible or commercially impracticable, either party may cancel the affected services on written notice, subject to payment for work performed and non-cancellable costs incurred up to the date of cancellation.
10. Changes to terms
We may update or revise these Terms from time to time to reflect changes in our services, operational practices, legal requirements, or business needs. Any revised Terms will be posted or otherwise made available to you and will take effect from the date specified in the updated version.
If you continue to book, access, or use our services after revised Terms take effect, you will be deemed to have accepted the changes. If you do not agree to the revised Terms, you must stop using our services and, where relevant, notify us in writing before the next booking or service date.
Any change to a specific booking or project must be agreed in writing by both parties.
11. Applicable law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or formation shall be governed by and construed in accordance with the laws applicable in England and Wales.
Subject to any mandatory legal rights or dispute resolution requirements, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the services provided by Northstar Live Productions Ltd.

13. Severability clause
